TERMS OF SERVICE
1. Acceptance of Terms
These Terms of Service (the “Terms”) govern access to and use of the Grailz website, application, marketplace, pack-opening features, vaulting and redemption services, digital content, community features, and all related products and services offered by Grailz, Inc. (“Grailz,” “we,” “us,” or “our”).
By creating an account, browsing the Services, purchasing a pack, opening a pack, buying or selling through the marketplace, redeeming an item, or otherwise using the Services, you agree to be bound by these Terms and the policies incorporated by reference, including the Privacy Policy, Appendices A through E to these Terms, any standalone policy that Grailz publishes and links from the Services, and any promotional rules that apply to a specific offer. If Grailz has not published a separate standalone policy for a topic covered by an Appendix, the applicable Appendix is intended to be the complete policy statement for that topic.
If you do not agree to these Terms, do not access or use the Services. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, in which case “you” includes that entity.
2. Operator Information
The Services are operated by Grailz, Inc., a Delaware corporation. Grailz may use affiliates, contractors, vendors, custodians, logistics partners, payment processors, grading partners, compliance providers, analytics vendors, communications vendors, and other service providers in connection with the Services. Unless Grailz expressly states otherwise in writing, Grailz, Inc. is the contracting party for the Services.
You may contact Grailz for support at support@grailz.com, for legal notices and infringement claims at legal@grailz.com, and for privacy requests at privacy@grailz.com. Grailz may update its contact details from time to time by posting updated information through the Services. Formal legal notices sent by email will be treated as received only when Grailz confirms receipt or responds in writing.
3. Nature of the Services; No Gambling or Investment Promise
Grailz is a collectibles and fan-engagement platform built around sports, collecting, identity, progression, transparency, liquidity, community, and related experiences. Grailz is not offered as a gambling product, sports wagering product, or investment advisory service. Unless Grailz expressly states otherwise in writing, nothing in the Services constitutes a promise of profit, return on investment, price appreciation, or guaranteed resale value.
Certain features of the Services may include curated packs, randomized or semi-randomized outcomes, marketplace activity, vaulting, redemption, progression systems, achievements, rewards, community experiences, or other features made available from time to time. The legal and practical availability of those features may depend on your jurisdiction, age, payment method, compliance status, and platform integrity considerations. Regulatory definitions vary by jurisdiction, and you are responsible for determining whether your access to or use of a particular feature is lawful where you are located. Grailz may restrict, suspend, or prohibit access to some or all features where required by law, safety, fraud prevention, or platform integrity concerns.
Where Grailz displays odds, rarity information, estimated value, liquidity indicators, buyback or cash-out options, market statistics, recent sales, floor prices, or similar information, those disclosures are intended to improve user transparency and platform understanding. They do not guarantee that a collectible will retain value, appreciate, sell at any specific price, or remain redeemable or liquid on any particular timeline.
Grailz may in the future offer blockchain-based, wallet, NFT, or other crypto-native features. If introduced, those features will be subject to additional terms and disclosures presented before the feature is made available.
4. Eligibility
You may use the Services only if you are legally capable of entering into a binding contract under applicable law, are not otherwise prohibited from using the Services, and are at least eighteen (18) years old to create an account or use pack purchases, marketplace activity, payouts, withdrawals, redemption, or other transactional features. Grailz may impose a higher age threshold where required by local law or by the rules of a specific feature, promotion, or partner program.
Without limiting the foregoing, you may not use the Services if you are located in, ordinarily resident in, or acting on behalf of a person or entity located in a jurisdiction where the Services or relevant features are prohibited, restricted, or require additional approvals that you have not obtained. You also may not use the Services if you are the subject of sanctions or embargoes, if you are listed on a government watchlist or denied-party list, or if Grailz reasonably determines that you present legal, compliance, fraud, or safety risk.
5. Accounts, Credentials, and Verification
To access certain features, you may be required to create an account. You agree to provide true, accurate, current, and complete information, and to maintain and promptly update that information as needed. You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not you authorized that activity.
You may not share your account with another person, create accounts for anyone other than yourself or an authorized business user, or use false, misleading, or impersonating information. Grailz may require identity verification, age verification, address verification, payment verification, fraud screening, source-of-funds checks, sanctions screening, or enhanced due diligence before permitting purchases, sales, withdrawals, redemptions, shipping requests, promotional participation, or access to certain features.
Grailz may reject, suspend, freeze, limit, or terminate any account or specific account function if Grailz reasonably determines that verification has failed, compliance review is incomplete, suspicious or abusive activity has occurred, applicable law may be implicated, or continued access may expose Grailz, other users, or service providers to legal, fraud, safety, or operational risk. Where reasonably practicable and legally permitted, Grailz will notify you of the account action and its general reason. You may contact support@grailz.com to ask about account restrictions or provide information relevant to a review. Grailz may require identity verification, source-of-funds review, bank-account validation, or enhanced diligence before permitting withdrawals, payouts, redemptions, high-value purchases, physical fulfillment, or other higher-risk activity.
6. Description of Services
The Services may include, without limitation: live or event-driven drops; curated pack sales; pack-opening experiences; digital pack and collectible displays; user collections; vaulting and custody workflows; marketplace features; listing, offer, buying, and selling tools; community profiles; achievements; quests or challenges; rewards; promotional mechanics; redemption and shipping; customer support; and content or media related to sports and collecting. Additional social sharing, clip, season-based, or similar features may be offered if and when they are made available through the Services.
Grailz may add, remove, suspend, or modify any feature or content at any time, including by changing the design, mechanics, economics, availability, eligibility, reward structure, timing, access method, or presentation of a feature. Grailz is not required to continue offering any feature, item category, series, event type, collectible format, promotion, or program for any period of time.
7. Pack Purchases
Grailz may offer packs or other packaged collectible opportunities. A pack purchase gives you the right to receive the pack-opening experience and the collectible outcome associated with that purchase as disclosed at the time of sale and subject to these Terms and the policies incorporated herein. Pack contents may be curated by Grailz or third-party partners and may be displayed using categories, rarity tiers, examples, featured pulls, estimated values, or other presentation methods.
Examples of potential outcomes are illustrative, and featured pulls, rarity references, or visual spotlights do not guarantee that you will receive any specific item. Because pack contents may be randomized, individual outcomes will vary and may differ from examples shown. Pack purchases are final once the applicable finality trigger occurs under these Terms, including once the outcome is revealed.
Grailz may limit the number of packs available, the number of packs any user may purchase, the time period in which a pack may be sold, the jurisdictions in which a pack may be offered, and the eligibility criteria or verification requirements for participating in a pack sale. Grailz may also delay, pause, cancel, or re-run a sale where it believes doing so is necessary for fairness, legal compliance, payment integrity, fraud prevention, technical integrity, or inventory reconciliation.
Grailz may cancel, void, limit, delay, or correct any offering, order, pack, listing, promotion, or transaction affected by a pricing error, supply error, content misdescription, grading or cataloging issue, technical malfunction, abuse pattern, or suspected fraud. If payment was captured for a transaction that Grailz does not honor due to a confirmed error or integrity issue, Grailz may reverse or refund the affected amount in accordance with its then-current procedures and applicable law.
8. Odds, Value Indicators, and Transparency Disclosures
Where Grailz provides odds, probabilities, rarity breakdowns, estimated value ranges, expected-value figures, floor prices, recent-sale information, market statistics, price charts, liquidity indicators, or provenance-related information, Grailz does so solely to provide informational transparency. Such information may be derived from internal methodology, marketplace activity, external price sources, historical transactions, operational assumptions, or third-party data and may change without notice.
You understand and agree that all value-related and market-related information is informational only, may be incomplete or delayed, and does not create a warranty, guarantee, or promise about the current or future price, resale value, marketability, or liquidity of any collectible. Grailz does not guarantee that any item will be redeemable, marketable, insured, shippable, listable, or purchasable on any specific timeline or at any specific price.
If Grailz publishes or links to an Odds / Fairness Policy or similar disclosure, that disclosure is incorporated into these Terms. Grailz reserves the right to revise the methodology used to calculate or present odds, price references, rarity descriptors, and similar information, provided that such revisions are made in good faith and are not intended to deceive users about the nature of a live offering.
9. When Transactions Become Final
Unless otherwise required by applicable law or expressly stated by Grailz in writing, all pack purchases are final once the pack is opened, the collectible outcome is revealed, the resulting asset or entitlement is delivered or recorded in your account, you take a post-purchase action such as listing, selling, transferring, redeeming, or accepting a cash-out or buyback option, or a redemption request enters processing. Grailz may reasonably designate additional steps or events that make a transaction final where needed to reflect the product flow or protect platform integrity.
Grailz may grant limited relief for a confirmed technical failure, duplicate charge, unauthorized access event, or other exceptional circumstance. Any such relief is discretionary except where mandatory law requires a different outcome, and Grailz may condition relief on timely notice, completion of an investigation, or return of any mistakenly credited value.
Additional rules concerning finality, refunds, redemptions, chargebacks, promotional credits, and exceptions may be stated in the Refund / Chargeback / Finality Policy, which is incorporated by reference.
10. Vaulting, Custody, Redemption, and Delivery
Grailz may offer storage, vaulting, custody, logistics, or fulfillment services for eligible collectibles, whether directly or through one or more service providers. When Grailz refers to an item as vaulted, stored, held, or otherwise maintained within the Services, Grailz is describing the item’s operational status within a custody or logistics workflow and not necessarily immediate physical possession by you.
Unless Grailz expressly states otherwise, any ownership interest you may have in a collectible does not entitle you to immediate physical possession. Physical possession, delivery, and title transfer mechanics may depend on verification, payment status, shipping restrictions, fraud review, inventory reconciliation, partner availability, export and import restrictions, sanctions review, and other operational or legal conditions.
Where redemption is available, you may request shipment of an eligible item subject to the Redemption / Shipping Policy, completion of any required identity or eligibility checks, payment of shipping and related fees, and compliance with all applicable instructions. Grailz may limit redemption by item type, value, destination, sanctions or export restrictions, product condition, inventory status, fraud risk, or operational capability. Grailz may require address confirmation and may limit address changes once a redemption request is submitted or enters fulfillment.
Risk of loss and title transfer will be determined as stated in the Redemption / Shipping Policy or, if not specified there, at the point Grailz or its designated fulfillment partner transfers the item to the shipping carrier. Once a shipment is accepted by the carrier and tracking is issued, shipping risk may transfer to you except to the extent applicable law requires otherwise. Claims for lost, damaged, delayed, or stolen shipments may need to be pursued with the carrier or applicable insurer, and Grailz may require your cooperation in any claim process.
Redemption requests may be final once submitted or once processing begins. Grailz may be unable to cancel or modify a redemption request after submission, particularly after inventory retrieval, label generation, export or customs documentation, or handoff to a fulfillment or shipping partner. Delivery timelines are estimates only and may be affected by fraud review, carrier performance, weather, customs processing, supply-chain disruptions, or other causes outside Grailz’s reasonable control.
If Grailz stores items on your behalf, you remain the beneficial owner of any item identified as held for your account, subject to the rights and restrictions described in these Terms and any incorporated policies. Grailz acts as a platform operator and may act directly or through custodians, vault providers, or logistics partners. For eligible vaulted physical collectibles, Grailz will maintain, or require its custody provider to maintain, commercially reasonable insurance intended to cover loss, theft, damage, fire, and similar casualty events while the item is in Grailz-controlled or provider-controlled custody, subject to policy limits, exclusions, deductibles, valuation methodology, claim procedures, and applicable law. Grailz will make commercially reasonable information about the applicable coverage and claim process available upon request or in the applicable custody policy.
In the event Grailz ceases the relevant custody service, Grailz will provide at least ninety (90) days’ notice and a reclamation process for eligible vaulted items where reasonably practicable and legally permitted. During the reclamation period, you may request shipment of eligible items subject to identity verification, payment of shipping or related charges, destination restrictions, applicable law, and the continued cooperation of relevant service providers.
Items not redeemed, claimed, or reclaimed within any stated notice period may remain subject to storage fees, liquidation rights, setoff rights, or applicable abandoned-property or unclaimed-property laws, as permitted by law and any incorporated policy.
11. Marketplace Transactions
Grailz may operate a marketplace or marketplace-like functionality that allows users to list, make offers for, buy, sell, or otherwise transact in eligible collectibles or collectible-linked rights within the Services. If auction, bidding, or pre-bid features are made available, additional rules may apply. Grailz may facilitate marketplace interactions, but unless Grailz expressly states otherwise, Grailz is not the merchant of record for peer-to-peer marketplace listings and does not guarantee the performance of any other user.
Grailz may set or modify marketplace rules, listing standards, trading windows, listing durations, fee schedules, settlement timing, hold periods, visibility rules, and listing eligibility criteria. Grailz may remove, suppress, or refuse any listing or offer for any reason consistent with these Terms, including fraud risk, legal concerns, inventory mismatch, IP complaints, operational constraints, or user-safety concerns.
Marketplace metrics, liquidity indicators, historic sales, list prices, bids, offers, and similar displays are informational and may not be complete or current. Grailz does not guarantee that any listed item will sell, that any buyer will pay, or that any seller will deliver or remain eligible to complete a transaction. Grailz may delay settlement, withhold payouts, or reverse platform credits where appropriate to investigate disputes, fraud, or operational errors.
12. Fees, Payments, Taxes, and Promotional Credits
You agree to pay all amounts stated at the time of your transaction, including purchase prices, marketplace fees, redemption fees, shipping charges, taxes, handling fees, processor fees, and any other disclosed amounts. Grailz may use third-party processors, payout providers, and fraud tools, and your use of those services may also be governed by separate terms and privacy notices.
You are responsible for all taxes, duties, customs fees, VAT, GST, sales tax, use tax, and similar charges arising from your use of the Services unless applicable law requires Grailz to collect and remit such amounts. If Grailz determines that withholding or reporting is required, you authorize Grailz to collect additional information and to withhold or report amounts as required by law.
From time to time, Grailz may issue promotional credits, vouchers, reward balances, coupons, or similar instruments. Unless Grailz expressly states otherwise, such credits have no cash value, are non-transferable, may expire if not used, may not be redeemable for cash or withdrawal, and may be revoked for abuse, fraud, or policy violation. Promotions, bonus funds, and reward balances may be subject to separate terms, opt-in requirements, turnover or playthrough conditions, geographic limits, or feature-specific restrictions.
13. Season Passes, Progression Features, Rewards, and Promotions
Grailz may offer season-based experiences, quests, achievements, ranking systems, gated access, pass products, loyalty rewards, or other progression features. Such features are discretionary product mechanics designed to enhance the user experience. They do not create vested property rights, guaranteed rewards, guaranteed access to future features, or guaranteed future economic benefit.
Grailz may modify, pause, end, replace, or reprice any season, pass, quest, challenge, or reward mechanic at any time. Where a promotion, contest, or sweepstakes is offered, it may be subject to additional official rules, and those rules will control in the event of a conflict with these Terms for the specific promotion.
14. User Content, Community Features, and Public Activity
The Services may allow you to create a profile, select a username, display your collection, share or repost activity, publish posts or comments, upload or submit content, or create clips or highlights from pack openings or other platform experiences (“User Content”). You retain ownership of User Content that you lawfully create, but you grant Grailz a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, modify for technical formatting, publicly display, publicly perform, and otherwise use your User Content as needed to operate, improve, secure, and promote the Services.
You represent and warrant that you have all rights needed to provide User Content and that your User Content does not violate any law, infringe any IP or publicity right, contain malware, mislead users, or violate these Terms. Grailz may remove or restrict User Content at any time if Grailz believes it is harmful, fraudulent, infringing, unlawful, abusive, misleading, unsafe, or otherwise inconsistent with the Services.
Certain account details, collection data, listing activity, purchase activity, usernames, ranks, achievements, or shared content may be visible to other users or publicly visible by design. You are responsible for understanding the visibility settings available to you. Grailz does not guarantee confidentiality for content or activity you submit to public-facing portions of the Services.
15. Prohibited Conduct
You agree not to, directly or indirectly: use the Services for any unlawful purpose; violate these Terms or any other policy; misrepresent your identity or affiliation; use stolen payment methods; abuse refunds or chargebacks; manipulate odds, pack mechanics, or technical systems; attempt to reverse engineer protected parts of the Services except to the extent permitted by law; scrape or harvest data beyond permitted use; use bots or automation where prohibited; engage in wash trading, shill bidding, price manipulation, or collusion; interfere with the fairness or operation of drops or marketplace activity; submit false disputes; evade sanctions or geographic controls; infringe intellectual property rights; or harass, threaten, or abuse other users or service providers.
Grailz may investigate suspected misconduct and may cooperate with law enforcement, rights holders, payment partners, shipping carriers, grading partners, or other third parties in doing so. Remedies for prohibited conduct may include warnings, content removal, listing removal, account suspension, feature restriction, charge reversal where permitted, payout holds, item forfeiture where lawful and clearly disclosed, and permanent termination.
16. Compliance Measures; Holds; Suspensions; Termination
Grailz may monitor activity, review transactions, place holds on funds or items for a reasonable period necessary to complete review, delay or refuse payouts, pause or cancel listings, require additional verification, limit account functionality, or suspend or terminate your access to the Services where Grailz reasonably believes doing so is appropriate for legal compliance, fraud prevention, user safety, sanctions review, payment integrity, dispute resolution, operational stability, or protection of the platform and its users. Where reasonably practicable and legally permitted, Grailz will notify you of a hold or restriction and its general reason, and you may contact support@grailz.com to inquire about holds or restrictions on your account.
Grailz may preserve records, transaction data, communications, and account information as needed to investigate disputes, comply with law, defend its rights, or protect users and partners. Termination of your account does not relieve you of obligations accrued before termination, including payment obligations, indemnity obligations, and restrictions on conduct.
17. Third-Party Services and Partners
The Services may depend on, integrate with, or reference third-party service providers and partners, including payment processors, compliance vendors, analytics providers, shipping carriers, custodians, insurers, storage providers, grading or authentication partners, communications providers, cloud hosts, and social or media platforms. Grailz may also display content or links provided by third parties.
Your interactions with third-party providers may be subject to separate terms, policies, and practices. Grailz is not responsible for the actions, omissions, products, or services of third parties except to the extent required by law. Grailz does not guarantee the availability, security, delivery, or performance of any third-party service or partner.
18. Intellectual Property
The Services and all related software, designs, interfaces, text, graphics, audio, video, photographs, curation, branding, trade dress, trademarks, service marks, names, logos, compilations, and other content (other than certain User Content) are owned by Grailz or its licensors and are protected by copyright, trademark, trade secret, and other laws.
Subject to your compliance with these Terms, Grailz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or authorized internal business use. You may not copy, modify, distribute, publicly display, sell, license, or exploit the Services or any part of them except as expressly permitted by Grailz or by law.
Ownership or acquisition of a collectible does not, by itself, transfer any copyright, trademark, publicity right, or other IP right associated with Grailz, any sports league, athlete, team, creator, licensor, or other third party, except for any rights expressly granted in writing. Grailz may maintain and enforce a notice-and-takedown policy for claimed infringement.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GRAILZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, GRAILZ DOES NOT WARRANT THAT ANY PACK, MARKETPLACE FEATURE, REWARD MECHANIC, REDEMPTION WORKFLOW, SHIPPING METHOD, PRICE REFERENCE, ODDS DISPLAY, OR VALUE INDICATOR WILL BE AVAILABLE, ACCURATE, COMPLETE, CURRENT, PROFITABLE, RESELLABLE, OR SUITABLE FOR YOUR PARTICULAR GOALS. MARKET CONDITIONS, USER DEMAND, SPORTS EVENTS, PARTNER RELATIONSHIPS, LOGISTICS CONSTRAINTS, AND LEGAL REQUIREMENTS MAY CHANGE AT ANY TIME.
GRAILZ DOES NOT WARRANT THE ACCURACY OF THIRD-PARTY GRADING, AUTHENTICATION, APPRAISAL, CATALOG, CONDITION, OR MARKET-DATA INPUTS, AND GRAILZ IS NOT RESPONSIBLE FOR ERRORS OR OMISSIONS ORIGINATING WITH SELLERS, GRADERS, DATA PROVIDERS, CARRIERS, OR OTHER THIRD-PARTY PARTNERS, EXCEPT TO THE EXTENT REQUIRED BY LAW.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAILZ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF OPPORTUNITY, BUSINESS INTERRUPTION, MARKET LOSS, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAILZ’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100), OR (B) THE TOTAL AMOUNTS PAID BY YOU TO GRAILZ DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the foregoing limitations apply only to the maximum extent permitted by law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Grailz and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, actions, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your transactions or dealings through the Services; (d) your violation of these Terms or applicable law; or (e) your infringement or misappropriation of any third-party right.
22. Dispute Resolution; Governing Law
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR SMALL-CLAIMS MATTERS, CLAIMS SEEKING TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF, AND CLAIMS THAT CANNOT LEGALLY BE ARBITRATED, YOU AND GRAILZ AGREE TO RESOLVE DISPUTES ONLY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION. These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent consumer-protection law requires another result.
Before initiating arbitration, the claimant must send a written notice describing the nature of the dispute and the requested relief to legal@grailz.com (or, for notices from Grailz to you, to the email address associated with your account). The parties will attempt to resolve the dispute informally for at least thirty (30) days before either side commences arbitration, unless immediate injunctive relief is reasonably necessary.
Any arbitration will be administered by JAMS under its then-current Streamlined or Comprehensive Arbitration Rules, as applicable, and any supplementary consumer procedures required by law. The arbitration may proceed remotely, in Wilmington, Delaware, or in the county where you reside, as determined under the applicable rules. The arbitrator may award individual relief available under applicable law but may not conduct any class, collective, consolidated, representative, or mass proceeding except to the extent a batching procedure is required or permitted by the arbitration administrator and is enforceable under applicable law.
To the maximum extent permitted by law, you and Grailz each waive any right to participate in a class action, class arbitration, collective action, private attorney general action, or other representative proceeding. If any portion of this class-action waiver is held unenforceable for a particular claim, then that claim may proceed in court only in the state or federal courts located in Wilmington, Delaware, and the remaining provisions of this Section will continue to apply to the fullest extent permitted by law.
You may opt out of this arbitration agreement by sending an email to legal@grailz.com within thirty (30) days after first accepting these Terms, including your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Grailz may require the other to arbitrate except to the extent another written agreement later provides otherwise. Nothing in this Section prevents either party from bringing an individual action in small-claims court, seeking temporary or preliminary injunctive relief, or seeking to compel arbitration or confirm, modify, vacate, or enter judgment on an arbitration award in a court of competent jurisdiction.
23. Changes to the Services and to These Terms
Grailz may modify, suspend, or discontinue any part of the Services at any time, including by changing available packs, pricing, market mechanics, reward systems, redemption options, eligibility criteria, and operational workflows. Grailz may also update these Terms from time to time.
If Grailz makes material changes to these Terms, Grailz will provide notice as required by law or in a manner reasonably designed to inform users, such as by posting the revised Terms through the Services or by email notice. Your continued use of the Services after the revised Terms become effective constitutes acceptance of the revised Terms.
24. General Provisions
These Terms, together with the policies and rules incorporated by reference, constitute the entire agreement between you and Grailz regarding the Services and supersede prior or contemporaneous understandings on that subject.
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Grailz’s failure to enforce any provision is not a waiver of future enforcement. You may not assign or transfer these Terms or your rights or obligations under them without Grailz’s prior written consent. Grailz may assign these Terms or any rights or obligations under them in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.
You agree that Grailz may provide notices electronically, including through the Services, by email, or through your account. Electronic records and signatures satisfy any legal requirement that a notice or agreement be in writing to the extent permitted by law. Sections that by their nature should survive termination will survive, including ownership provisions, disclaimers, liability limitations, indemnity, dispute provisions, payment obligations, and enforcement rights.
Grailz will not be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, extreme weather, fire, flood, internet or telecommunications outages, cyberattacks, labor disputes, carrier disruptions, customs delays, sports-schedule changes, venue closures, civil unrest, government action, sanctions restrictions, public-health events, or failures of third-party providers.
25. Account Deletion, Data Rights, and Reclamation
You may request deletion of your account through any self-service deletion tool made available in the Services or by contacting privacy@grailz.com. Grailz may provide a fourteen (14) day grace period for self-service deletion requests during which you may cancel the request by signing in or contacting support, unless a shorter or longer period is required by law.
Grailz may delay or decline account deletion while your account has active listings, pending purchases or sales, in-transit shipments, unresolved disputes, pending payouts, positive cash or redeemable balances, suspected fraud, compliance holds, or legal preservation obligations. Grailz will explain the general reason for a delay unless prohibited by law, fraud-prevention needs, or an ongoing investigation.
When account deletion is completed, Grailz will delete or anonymize personal information associated with your account where required by law and reasonably feasible. Grailz may retain transaction records, tax records, fraud and compliance records, chargeback records, support records, and marketplace or ownership-chain records as needed to comply with law, resolve disputes, maintain provenance, enforce these Terms, and protect users and partners.
Virtual credits, promotional credits, rewards, tokens, or other non-cash balances may be forfeited when deletion is completed, except where applicable law requires otherwise or Grailz expressly permits withdrawal or redemption before deletion. If a dollar-equivalent acknowledgment is required by law or by a product flow, Grailz may require that acknowledgment before completing deletion.
If eligible physical collectibles remain vaulted or otherwise held for your account when deletion is requested, Grailz will provide a reasonable reclamation process. Unless a longer period is required by law or stated in a specific notice, you will have ninety (90) days after deletion approval or notice to request shipment of eligible items, subject to identity verification, payment of shipping or related charges, destination restrictions, and other lawful conditions. Items not claimed within that period may be handled in accordance with applicable abandoned-property law and any incorporated policy.
Deletion is permanent once completed and may not be reversible. Some public, marketplace, provenance, transaction, or de-identified information may remain available where needed for platform integrity, legal compliance, or historical recordkeeping.

Appendix A — Pack Purchase, Odds, and Fairness Summary
Each live drop, pack page, or offering page should disclose the offered item class or pack structure, the price, the quantity or supply limits if applicable, the sale window, any eligibility or geographic restrictions, and whether the offering is randomized, semi-randomized, or curated. Featured pulls, example outcomes, rarity tiers, and estimated-value ranges are illustrative only unless Grailz expressly states otherwise in writing.
Where Grailz displays odds, probability bands, rarity percentages, expected-value ranges, floor prices, recent sales, or other transparency metrics, those disclosures are informational and may rely on internal rules, market activity, third-party data, or operational assumptions. Grailz may update those methodologies in good faith to improve accuracy, integrity, or user understanding, and technical or display errors may be corrected or voided.
Grailz may use anti-bot tools, audit logs, rate limits, sale pauses, reruns, or other integrity controls if it reasonably believes that a sale, drawing, allocation, or outcome was affected by abuse, malfunction, payment integrity issues, or inventory mismatch. If an offering is voided or corrected due to a confirmed integrity issue, Grailz may reverse the transaction and refund or restore the affected value in accordance with applicable law.
Appendix B — Refund, Chargeback, and Finality Summary
Except where applicable law requires otherwise or Grailz expressly provides a narrower exception, pack purchases, marketplace purchases, redemptions, and cash-out or buyback elections become final when the applicable finality trigger occurs under these Terms, including when an outcome is revealed, value is delivered, an item is listed or sold, or a redemption request enters processing. Dissatisfaction with an outcome, later market-price movement, or buyer’s remorse does not obligate Grailz to reverse a valid transaction.
Grailz may provide limited relief for a confirmed technical failure, duplicate charge, unauthorized access event, or other exceptional error. Grailz may condition relief on timely notice, completion of an investigation, return of mistakenly credited value, or other reasonable anti-fraud steps.
Promotional credits, coupons, reward balances, or bonus funds have no cash value unless Grailz expressly states otherwise and may be revoked, frozen, or set off for abuse, policy violation, or chargeback activity.
If you initiate a payment reversal, chargeback, ACH dispute, or card dispute relating to a transaction that Grailz reasonably believes was valid, Grailz may place holds on value, suspend account features, reverse credits where lawful, require reimbursement of associated costs, and decline future purchases or payouts until the matter is resolved.
Appendix C — Redemption, Shipping, and Risk of Loss Summary
Redemption may require identity verification, address confirmation, payment of shipping and handling fees, satisfaction of sanctions and export-control requirements, and compliance with destination restrictions. Grailz may deny or limit redemption where inventory is unavailable, fraud risk is elevated, required information is missing, or a destination is prohibited or operationally unsupported.
Unless Grailz expressly states otherwise, risk of loss passes at the time the item is transferred to the shipping carrier, subject to any mandatory law that requires a different result. You are responsible for customs duties, import taxes, brokerage fees, and similar charges associated with cross-border delivery unless Grailz expressly states otherwise at checkout.
Once a redemption request is in fulfillment, Grailz may be unable to reroute, cancel, or edit the request. Undeliverable, refused, or returned shipments may be subject to reshipment fees, additional verification, storage charges, or abandonment procedures. Claims relating to carrier loss or damage may require your timely cooperation and may be subject to carrier or insurer claim windows.
Appendix D — Promotions, Sweepstakes, and Contest Rules Summary
Any contest, sweepstakes, giveaway, quest-based prize campaign, or promotional reward that is subject to special law or platform rules may also be governed by separate Official Rules, a Promotion Terms page, or offer-specific disclosures. In the event of a conflict, the Official Rules or offer-specific disclosures will control for that promotion to the extent of the conflict.
Where required by law, Grailz will structure a promotion with a no-purchase-necessary alternative method of entry, required eligibility disclosures, odds disclosures if legally required, geographic limits, sponsor identification, winner-selection timing, prize details, and tax-allocation language. Promotions are void where prohibited.
Appendix E — Fees and Payment Schedule
Grailz will disclose applicable purchase prices, marketplace fees, redemption fees, shipping and handling charges, taxes, processor fees, payout fees, and any other material fees before they are charged or in a fee schedule made available through the Services. Grailz may update fees from time to time, and any fee changes will apply prospectively unless otherwise required by law.
